| Preamble | |
| This End User License Agreement ("Agreement") is a legally binding contract between you ("Licensee") and Aleksandr Baghramyan ("Licensor") that governs your use of the ArmenianGPT model. By downloading, accessing, or using the Model, you are agreeing to be bound by all terms and conditions of this Agreement. | |
| 1. Definitions | |
| * "Model" refers to the ArmenianGPT language model, including its architecture, weights, code, and documentation. | |
| * "Derivative Work" means any work based on or derived from the Model, including but not limited to translations, adaptations, or modifications such as fine-tuning, retraining, or adding layers to the Model's architecture. | |
| * "Output" refers to any content, data, or information generated by the Model. | |
| * "Distribute" means to sell, license, provide, transfer, or make available the Model or its Derivative Works, in whole or in part, to any third party, including through a network or API. | |
| * "Non-Commercial Use" is strictly limited to Personal Use and Academic Research. | |
| * "Personal Use" means use for personal learning and experimentation, wholly outside of any business, institutional, or revenue-generating context. | |
| * "Academic Research" means use at a qualified academic institution as part of formal, non-profit research that is not intended to produce a commercial product and is not funded by a for-profit entity for a commercial purpose. | |
| * "Commercial Use" is defined as any use not explicitly defined as Non-Commercial Use. It includes, but is not limited to: any use by a for-profit entity; any use that generates revenue, cost savings, or operational efficiencies; use in any product or service; and use by a non-profit in a revenue-generating activity. | |
| 2. License Grant | |
| * a) Non-Commercial Use: The Licensor grants the Licensee a limited, non-exclusive, non-transferable license for Non-Commercial Use. | |
| * b) Evaluation: The Licensor grants the Licensee a limited license to conduct internal evaluation of the Model for a period not to exceed thirty (30) days. This grant does not permit any production, pre-production, or development use. | |
| 3. Restrictions and Conditions of Use | |
| All rights not expressly granted are reserved by the Licensor. The Licensee shall not: | |
| * a) Prohibited Uses: Use the Model or Output for any purpose restricted by the Gemma Prohibited Use Policy (ai.google.dev/gemma/prohibited_use_policy). | |
| * b) Restriction on Using Output for Model Training: Use the Output of the Model to directly or indirectly train, fine-tune, or otherwise improve any other machine learning model, including but not limited to any other language model, without the express prior written permission of the Licensor. This practice, sometimes referred to as 'model scraping', is strictly forbidden. | |
| * c) Hosted Services: Use the Model to operate a service or API for third parties. | |
| * d) Competition: Use the Model to develop any product, service, or model that competes with ArmenianGPT or the commercial offerings of OpenAI, Google, or Anthropic. | |
| * e) Data Contamination Compliance: Acknowledge the Model may contain third-party data. Licensee must comply with the terms of use of such third parties (including OpenAI, Google, Anthropic). A breach of any such third-party term shall be deemed a material breach of this Agreement. | |
| * f) Attribution: For any public-facing Non-Commercial Use, provide reasonable attribution, such as: "Powered by ArmenianGPT by Aleksandr Baghramyan." | |
| 4. Commercial Licensing | |
| All Commercial Use is strictly prohibited without a separate, written commercial license from the Licensor. Contact: Baghramyan@pm.me. | |
| 5. Distribution Requirements | |
| If permitted by a separate agreement to Distribute the Model or a Derivative Work, you must provide all recipients with: an exact, unmodified copy of this Agreement; a notice of modification; and all required Gemma terms and notices. | |
| 6. Termination | |
| This Agreement terminates automatically upon any breach. Upon termination, Licensee must cease all use and destroy all copies of the Model. | |
| 7. Disclaimer of Warranty & Limitation of Liability | |
| THE MODEL IS PROVIDED "AS IS," WITHOUT WARRANTY. IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY ARISING FROM THE USE OF THE MODEL. | |
| 8. General Provisions | |
| * a) Audit Rights: Upon reasonable notice, the Licensor or its designated agent shall have the right to audit Licensee’s records and systems to verify compliance with this Agreement. The Licensee agrees to cooperate fully with any such audit. | |
| * b) Indemnification: Licensee agrees to indemnify, defend, and hold harmless the Licensor from all claims, damages, and expenses (including reasonable attorney's fees) arising from Licensee's use of the Model or breach of this Agreement. | |
| * c) Dispute Resolution and Arbitration: Any dispute arising from this Agreement shall be settled by binding arbitration administered by the International Chamber of Commerce (ICC) under its Rules of Arbitration by one arbitrator. If Licensee initiates a legal proceeding in violation of this clause, Licensee shall be responsible for all of Licensor's costs, including attorney's fees, to enforce this arbitration clause. | |
| * d) Severability: If a provision is held unenforceable, it will be modified to the minimum extent necessary to be enforceable, and the remaining provisions will remain in effect. | |
| * e) Entire Agreement: This Agreement is the entire agreement between the parties and supersedes all prior agreements. | |
| * f) No Waiver: Failure to enforce any provision is not a waiver of the right to enforce it later. | |
| * g) Contact and Communication: By providing your contact details to download or access the Model, you consent to the Licensor contacting you. Communications may include requests for feedback, information about Model updates, or other matters related to the ArmenianGPT project. | |
